Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Zedd Labs LLC, a California limited liability company ("VestWiz," "we," "us"). They govern your use of vestwiz.app, our free equity-compensation estimators, guides, and VestWiz Pro (collectively, the "Service"). By using the Service, you agree to these Terms.

1. What VestWiz is

VestWiz provides educational tools that estimate the tax implications of equity compensation (RSUs, ISOs, NSOs, ESPPs). The free calculator runs entirely in your browser. VestWiz Pro is a paid subscription ($199/year) that adds account-based features: a vest tracker, estimated-payment reminders, filing export, a year-end planner, offer comparison, and a planning playbook.

2. Not professional advice

The Service provides estimates and general educational information only. It is not tax, legal, financial, or investment advice, and it does not create a CPA-client, attorney-client, or advisor-client relationship. Tax law is complex and fact-specific. Estimates use simplified assumptions and current-year rules that may not reflect your situation. Always consult a qualified tax professional before making exercise, sale, or filing decisions. You use the Service and rely on its outputs at your own risk.

3. Accounts

Pro accounts require a valid email address. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. One account per person. We may suspend or terminate accounts that abuse the Service, attempt to circumvent access controls, or violate these Terms.

4. Subscriptions and billing

VestWiz Pro costs $199 per year, billed annually in advance through Stripe. Your subscription renews automatically each year until you cancel. Cancel anytime from your account dashboard; you keep Pro access until the end of your current billing period, and you will not be charged again.

5. Refunds

14-day refund: if you purchase Pro and change your mind within 14 days of your initial purchase, email support@vestwiz.app for a refund of $199 minus Stripe's non-refundable processing fee (currently 2.9% + 30¢, about $6.07). After 14 days, refunds are not available. See the Refund Policy

6. Beta program

From time to time we offer free trial access ("Beta"). Beta access is limited (for example: 7 days, limited redemptions, one per email), may be revoked at any time, and is provided as-is. Beta users are bound by these Terms.

7. Acceptable use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to our systems; (c) scrape, copy, or resell the Service or its content; (d) interfere with or disrupt the Service; or (e) misrepresent the Service's outputs as professional advice.

8. Intellectual property

The Service, including its calculators, guides, text, design, and code, is owned by Zedd Labs LLC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial use. You may not copy, modify, or create derivative works from the Service without our written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that estimates will match your actual tax outcomes.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEDD LABS LLC AND ITS MEMBERS, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $50 IF YOU USED ONLY THE FREE SERVICE).

11. Indemnification

You agree to indemnify and hold harmless Zedd Labs LLC and its members, officers, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.

12. Changes to the Service and Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms by posting the revised version on this page with a new "Last updated" date. Continued use of the Service after changes means you accept the updated Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Sacramento County, California, and you consent to their jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
